Referral Program — Terms and Conditions

Concepts Plumbing and Concepts Construction

Effective date: October 18, 2026

These Terms and Conditions govern the referral program ("the Program") offered by Concepts Plumbing and Concepts Construction (collectively "the Businesses"). By participating in the Program as a referrer or as a referred customer, you agree to these Terms and Conditions in full.

1. Definitions

1.1. "Referrer" means any individual who refers a customer to either Business under the Program.

1.2. "Referred Customer" means the customer who is referred by the Referrer.

1.3. "Reward" means one (1) gift card with a face value of $50 CAD issued to each of the Referrer and the Referred Customer.

1.4. "Qualifying Job" has the meaning set out in Section 3.

1.5. "Businesses" means Concepts Plumbing and Concepts Construction collectively.

2. Program Overview

2.1. Under the Program, a Referrer may refer a Referred Customer to Concepts Plumbing or Concepts Construction.

2.2. When a Referred Customer books a Qualifying Job and the deposit is collected, both the Referrer and the Referred Customer will each receive a Reward.

3. Eligibility

3.1. Referrer eligibility. Anyone can be a Referrer — no prior relationship with the Businesses is required. Work is work. Employees, contractors, and crew members of the Businesses are eligible to refer but are subject to the same conditions herein.

3.2. Referred Customer eligibility. The Referred Customer may be any individual or business — new or existing customer. Work is work.

3.3. The Referred Customer must identify the Referrer by full name at the time of booking. Referrals cannot be credited retroactively after a job has been booked without the Referrer's name being provided at booking.

3.4. No spamming. The Referrer must only refer individuals with whom they have a personal or existing business relationship. The Businesses discourage unsolicited mass messaging, cold outreach to strangers, or any referral activity that could be considered spam under Canada's Anti-Spam Legislation (CASL). Referrers who engage in spamming may be disqualified from the Program.

3.5. No agency. The Referrer acts as an independent individual and not as an agent, employee, or representative of the Businesses. The Referrer has no authority to make promises, offer discounts, or enter into agreements on behalf of the Businesses.

4. Qualifying Jobs

4.1. A "qualifying job" is a booked job with a deposit collected, with a total invoice value of $500 or more (excluding HST), performed by either Concepts Plumbing or Concepts Construction.

4.2. Estimates, consultations, and cancelled jobs (where no deposit was collected) do not qualify.

4.3. One Reward per Referred Customer. Only one referral Reward may be claimed per Referred Customer. Multiple referrers may not claim Rewards for the same Referred Customer. If more than one Referrer is named, the first name provided at booking takes precedence.

5. The Reward

5.1. Each of the Referrer and the Referred Customer will receive one (1) gift card with a face value of $50 CAD.

5.2. Rotating card schedule. The gift card brand rotates monthly as follows, and this schedule may be adjusted at the Businesses' discretion:

- Month 1: $50 Visa prepaid gift card

- Month 2: $50 Tim Hortons gift card

- Month 3: $50 Canadian Tire gift card

- Month 4: $50 Amazon gift card

- The rotation then repeats.

5.3. Substitution rights. If a scheduled gift card brand is unavailable at the time of issuance (due to supply, vendor, or any other reason), the Businesses reserve the right to substitute a gift card of a different brand of equal or greater face value ($50 CAD or more), at their sole discretion. No claim, dispute, or objection may be raised on the basis of such substitution.

5.4. Delivery of Rewards. Rewards will be issued after the qualifying job has been booked and the deposit collected. The Businesses will make reasonable efforts to deliver Rewards within 30 days of deposit collection. Delivery may be by mail, email (for digital cards), or in person.

5.5. No cash alternative. Rewards are not redeemable for cash, credit, or discount on services, unless the Businesses elect in their sole discretion to offer an alternative.

5.6. Gift cards are subject to the terms and conditions of the issuing brand. The Businesses are not responsible for lost, stolen, expired, or misused gift cards after delivery.

6. Fraud and Abuse

6.1. Self-referrals prohibited. A Referrer may not refer themselves, their own household members living at the same address, or any business entity they own or control, for the purpose of obtaining a Reward.

6.2. Fictitious referrals. Referrals involving fictitious persons, fabricated names, or persons who have not genuinely requested the Businesses' services are void.

6.3. Any attempt to manipulate, abuse, or circumvent the Program — including but not limited to creating multiple identities, splitting jobs to meet the minimum value, or colluding between parties — will result in disqualification and forfeiture of any Rewards.

6.4. The Businesses reserve the right to investigate suspected fraud or abuse and to withhold, cancel, or reclaim Rewards at their sole discretion.

7. Program Modification and Termination

7.1. The Businesses may modify, suspend, or terminate the Program at any time, with or without notice, at their sole discretion.

7.2. In-progress referrals honoured. Any referral that has already resulted in a booked qualifying job prior to modification or termination will be honoured under the terms in effect at the time of booking.

7.3. Modifications may include, but are not limited to, changes to the Reward value, the gift card rotation schedule, the minimum job value, and eligibility criteria.

8. Dispute Resolution

8.1. Any dispute arising out of or in connection with the Program shall be resolved at the sole discretion of Concepts Plumbing and Concepts Construction.

8.2. The Businesses' decision is final and binding on all parties. No appeal mechanism is provided under these Terms and Conditions.

8.3. Participants agree to first attempt to resolve any concern by contacting the Businesses directly before pursuing any other remedy.

9. Limitation of Liability

9.1. To the maximum extent permitted by law, the total aggregate liability of Concepts Plumbing, Concepts Construction, and their owner, employees, and agents arising out of or in connection with the Program shall not exceed the face value of a single Reward ($50 CAD).

9.2. In no event shall the Businesses be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of opportunity, or loss of goodwill, even if advised of the possibility of such damages.

9.3. The Businesses make no warranties, express or implied, regarding the Program or the Rewards, including any implied warranty of merchantability or fitness for a particular purpose, except as expressly stated herein.

9.4. The Businesses are not responsible for technical failures, lost communications, postal delays, or any circumstance beyond their reasonable control that affects the delivery or redemption of Rewards.

10. Tax Responsibility

10.1. Any tax liability arising from the receipt of a Reward is the sole responsibility of the recipient. The Businesses will not withhold taxes or provide tax advice in connection with the Program.

10.2. Recipients are advised to consult their own tax professional regarding the tax treatment of gift card rewards under Canadian tax law.

11. Privacy

11.1. By participating in the Program, the Referrer consents to the Businesses collecting and using their name and contact information for the purpose of administering the Program.

11.2. The Referred Customer's personal information will be handled in accordance with the Businesses' standard privacy practices and applicable privacy legislation.

12. Indemnification

12.1. By participating in the Program, each participant agrees to indemnify, defend, and hold harmless the Businesses, their owner, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) the participant's breach of these Terms and Conditions; (b) the participant's fraudulent or abusive conduct in connection with the Program; or (c) any claim by a third party arising from the participant's referral activities.

13. Additional Provisions

13.1. Age requirement. Participants must be at least 18 years of age. Rewards will not be issued to minors.

13.2. Geographic scope. The Program is available to customers within the Businesses' service areas (Barrie, Orillia, Simcoe County, and surrounding areas). The Businesses reserve the right to decline referrals for jobs outside their service areas.

13.3. No publicity rights. Participation in the Program does not grant the Businesses the right to use a participant's name, image, or likeness in marketing materials without separate written consent.

13.4. Force majeure. The Businesses shall not be liable for any failure or delay in performing their obligations under the Program due to events beyond their reasonable control, including but not limited to natural disasters, pandemics, labour disputes, supply chain disruptions, or government actions.

13.5. Record keeping. The Businesses will maintain records of referrals, bookings, and Rewards issued. The Businesses' records shall be conclusive evidence of participation and eligibility in the event of any dispute.

13.6. Waiver. The failure of the Businesses to enforce any provision of these Terms and Conditions shall not constitute a waiver of their right to enforce that provision or any other provision.

13.7. No class actions. To the maximum extent permitted by law, participants agree that any dispute shall be resolved on an individual basis and not as part of a class, collective, or representative action.

13.8. Headings. Section headings are for convenience only and do not affect the interpretation of these Terms and Conditions.

14. General Provisions

14.1. Governing law. These Terms and Conditions are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

14.2. Severability. If any provision of these Terms and Conditions is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.3. Entire agreement. These Terms and Conditions constitute the entire agreement between the Businesses and participants with respect to the Program and supersede all prior representations or understandings.

14.4. No assignment. Rewards and rights under the Program may not be assigned or transferred to any other person.
